Parties:

This Trade-In and Purchase Agreement ("Agreement") is entered into between ("Customer") and Cart Nation, LLC ("Seller"), an authorized dealer of Whisper Carts, LLC, located at 2225 Eddie Williams Road, Johnson City, TN 37601.

Recitals:

The Customer has purchased a non-street legal golf cart through Costco and wishes to trade in the value of that purchase toward a street-legal Low Speed Vehicle (LSV) cart offered by Seller. The Seller agrees to facilitate this trade-in without physically delivering the non-street legal cart and to sell the Customer a street-legal LSV cart upon payment of the price difference.

Agreement:

Trade-In of Non-Street Legal Cart

The Customer acknowledges that they purchased a non-street legal golf cart through Costco for an amount equal to the “Original Purchase Price". The Customer agrees that this cart will not be physically shipped or delivered. Instead, the Seller will treat the Original Purchase Price as a trade-in credit applied toward the purchase of a street-legal LSV cart from Seller.

Purchase of Street-Legal LSV Cart

The Customer agrees to purchase a street-legal LSV cart from Seller for an amount equal to the “LSV Purchase Price". The Seller will apply the Original Purchase Price as a credit toward the LSV Purchase Price, leaving a remaining balance equal to the “Difference". Seller will register the LSV on Customer’s behalf, and Customer will pay all amounts required to register the vehicle. If Customer chooses to register the vehicle themselves, Customer shall hold Seller harmless for any loss that may result.

Payment of Difference

The Customer agrees to pay the Difference, plus any applicable sales taxes and fees, directly to Seller upon signing this Agreement. The Seller will not manufacture or ship the street-legal LSV cart until the Difference is paid in full.

Delivery of Street-Legal LSV Cart

Upon receipt of the Difference, the Seller will manufacture and ship the street-legal LSV cart to the Customer at the address provided. The Customer acknowledges that no non-street legal cart will be shipped or returned as part of this trade-in process.

No Refunds Through Cart Nation

The Customer understands and agrees that the Difference paid to Seller will not be refunded by Costco or the Seller under any circumstances. The Seller will fulfill the Costco order administratively by applying the Original Purchase Price as a trade-in credit, as outlined in this Agreement.

Entire Agreement

This Agreement constitutes the entire understanding between the Customer and the Seller regarding the trade-in and purchase described herein. Any modifications must be in writing and signed by both parties.

Governing Law

This Agreement shall be governed by the laws of Tennessee, without regard to its conflict of laws principles.
